Terms of Service

These Terms of Service govern your access to and use of the Digicentric website, its content, communications, and related services.

Effective date: August 2026

These Website Terms of Service (“Terms”) govern your access to and use of digicentric.com and any related webpages operated by Digicentric (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you should not access or use the Site.

In these Terms, “Digicentric,” “we,” “us,” and “our” refer to Digicentric. “You” and “your” refer to the individual accessing the Site and, where applicable, the company or organization on whose behalf that individual is acting.

1. Purpose of the Site

The Site provides general information about Digicentric and its information-technology services, which may include:

  • Managed IT support
  • Monitoring and maintenance
  • Help-desk support
  • Cybersecurity services
  • IT and vendor management
  • IT consulting and planning
  • Data backup and disaster-recovery solutions
  • Network infrastructure
  • Wireless technology
  • Servers and virtualization
  • Cloud services
  • Communications and collaboration systems
  • Technology refreshes, migrations, deployments, and other IT projects

Information on the Site is provided for general informational and marketing purposes. It does not constitute a binding offer, service commitment, technical specification, warranty, or service-level agreement.

2. Eligibility and Authority

You must be at least 18 years old to use the Site.

When using the Site on behalf of a business or another legal entity, you represent that you have the authority to act on that entity’s behalf and to bind it to these Terms.

3. No Client Relationship Created

Using the Site, submitting a contact form, requesting information, or communicating with Digicentric does not automatically create:

  • A client or service-provider relationship
  • A consulting relationship
  • A fiduciary relationship
  • A managed-services relationship
  • A confidentiality obligation
  • A duty to monitor, protect, maintain, repair, or respond to any system

A service relationship is created only when Digicentric and the applicable client enter into a written agreement authorized by both parties.

Do not rely on a website inquiry or general email as a method of reporting an emergency, security incident, system outage, active cyberattack, data breach, or other time-sensitive support issue.

Existing clients should use the support channels identified in their applicable service agreement or onboarding materials.

4. Separate Service Agreements

Managed IT services, project services, cybersecurity services, consulting, assessments, support obligations, response times, pricing, deliverables, warranties, and service levels are governed by separately executed documents, which may include:

  • A master services agreement
  • A managed services agreement
  • A statement of work
  • A proposal or order form
  • A service-level agreement
  • A data-processing or security addendum
  • An acceptable-use policy
  • Other written service terms

If these Website Terms conflict with a separately signed agreement between Digicentric and a client, the separately signed agreement will control with respect to the services covered by that agreement.

5. Permitted Use

Subject to these Terms, Digicentric grants you a limited, nonexclusive, nontransferable, revocable right to access and use the Site for lawful business and informational purposes.

You may:

  • Review information about Digicentric
  • Submit a legitimate business or service inquiry
  • Contact us regarding potential services
  • Share links to publicly available Site pages
  • Print or save reasonable portions of Site content for internal evaluation

No other rights are granted unless Digicentric provides express written permission.

6. Prohibited Conduct

You may not use the Site to:

  • Violate any applicable law or regulation
  • Submit false, fraudulent, misleading, or impersonated information
  • Interfere with the operation, availability, or security of the Site
  • Attempt to gain unauthorized access to the Site, its hosting environment, accounts, servers, systems, or networks
  • Probe, scan, test, or circumvent Site vulnerabilities or security controls without written authorization
  • Introduce malware, malicious code, ransomware, viruses, or harmful material
  • Conduct denial-of-service activity or place an unreasonable burden on Site infrastructure

  • Use the Site to send spam, unsolicited promotions, or unlawful communications
  • Reverse engineer or attempt to derive source code from Site functionality
  • Remove copyright, trademark, or proprietary notices
  • Use Digicentric’s identity, branding, content, or reputation in a misleading manner
  • Assist another person in carrying out prohibited conduct

Digicentric may restrict or block access to the Site when it reasonably believes these Terms have been violated or Site security may be at risk.

7. Contact Forms and User Submissions

When submitting information through the Site, you represent that:

  • The information is accurate to the best of your knowledge
  • You have the authority to provide it
  • Your submission does not violate another person’s rights
  • Your submission does not contain unlawful, malicious, or harmful material

You retain ownership of the original information you submit.

You grant Digicentric permission to use, reproduce, store, and internally distribute your submission as reasonably necessary to:

  • Respond to your inquiry
  • Evaluate your needs
  • Prepare recommendations or proposals
  • Maintain business records
  • Protect the Site and our systems
  • Comply with applicable law

Do not submit confidential system credentials, passwords, encryption keys, private access links, Social Security numbers, financial account information, protected health information, or other highly sensitive material through a general website form.

Unless Digicentric has agreed otherwise in writing, information sent through the public Site should not be considered confidential.

8. Intellectual Property

The Site and its content—including its text, graphics, branding, logos, icons, page layouts, designs, photographs, videos, downloads, software, and other materials—are owned by or licensed to Digicentric and are protected by intellectual-property laws.

You may not reproduce, modify, republish, distribute, sell, license, publicly display, create derivative works from, or commercially exploit Site content without prior written permission from Digicentric or the applicable rights holder.

“Digicentric,” its logos, service names, and related branding may be trademarks or service marks of Digicentric. No right to use those marks is granted by your use of the Site.

9. Accuracy of Website Information

Digicentric strives to provide useful and accurate information. However:

  • Website content may contain errors, omissions, or outdated information
  • Services and features may change
  • Availability may depend on location, staffing, technology, and client requirements
  • Results may vary based on a client’s environment and circumstances
  • Website content may be updated without notice

Statements regarding experience, capabilities, security, performance, uptime, support, compliance, response times, scalability, or results are general descriptions unless incorporated into a separately signed agreement.

You should not make a purchasing, cybersecurity, compliance, operational, or financial decision solely on the basis of general Site content.

10. No Professional or Compliance Advice

Site content does not constitute legal, regulatory, financial, insurance, accounting, or compliance advice.

References to cybersecurity frameworks, industry standards, regulatory requirements, or compliance practices do not represent a guarantee that a particular organization, system, or service will satisfy every applicable requirement.

Clients are responsible for consulting qualified legal, compliance, insurance, and other professional advisers regarding their specific obligations.

11. Cybersecurity Limitations

No security system, monitoring service, backup solution, disaster-recovery process, or cybersecurity control can eliminate all risk.

General statements on the Site about security, monitoring, protection, backup, recovery, or risk reduction do not constitute a guarantee that:

  • A security incident will not occur
  • Every threat or vulnerability will be detected
  • Data will never be lost or corrupted
  • Systems will always remain available
  • Recovery will occur within a specific period
  • A client will achieve or maintain regulatory compliance

Any specific obligations regarding security, monitoring, backups, recovery, response times, or risk allocation must be stated in a separately executed service agreement.

12. Third-Party Links and Services

The Site may contain links to third-party websites, platforms, products, social networks, or resources.

Third-party links are provided for convenience and do not necessarily constitute endorsement, sponsorship, or approval.

Digicentric does not control and is not responsible for third-party:

  • Content
  • Availability
  • Products or services
  • Privacy practices
  • Security practices
  • Terms or policies

You access third-party services at your own risk and should review their applicable terms and privacy policies.

13. Privacy

Your use of the Site is also subject to the Digicentric Privacy Policy.

The Privacy Policy explains how Digicentric may collect, use, retain, and disclose information obtained through the Site.

14. Electronic Communications

When you submit a form, email us, or otherwise communicate electronically with Digicentric, you consent to receive communications from us electronically regarding your inquiry.

Electronic communications may include emails, telephone calls, meeting invitations, proposals, notices, and other business communications.

You are responsible for ensuring that the contact information you provide is accurate and that you are authorized to receive communications at that address or telephone number.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

DIGICENTRIC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

DIGICENTRIC DOES NOT WARRANT THAT:

  • THE SITE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE
  • DEFECTS WILL BE CORRECTED
  • THE SITE OR ITS SERVERS WILL BE FREE OF MALICIOUS CODE
  • SITE CONTENT WILL BE COMPLETE, CURRENT, OR ACCURATE
  • USE OF THE SITE WILL PRODUCE A PARTICULAR RESULT

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGICENTRIC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO:

  • YOUR ACCESS TO OR USE OF THE SITE
  • YOUR INABILITY TO ACCESS OR USE THE SITE
  • RELIANCE ON SITE CONTENT
  • THIRD-PARTY CONTENT OR SERVICES
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF A SUBMISSION
  • MALWARE OR OTHER HARMFUL MATERIAL TRANSMITTED THROUGH THE SITE
  • ANY OTHER MATTER RELATING TO THE SITE

THIS EXCLUSION APPLIES TO DAMAGES SUCH AS LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOST DATA, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE SERVICES, REGARDLESS OF THE LEGAL THEORY AND EVEN IF DIGICENTRIC WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGICENTRIC’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE PUBLIC SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS.

These limitations do not apply where prohibited by applicable law and do not modify liability terms contained in a separately signed client agreement.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Digicentric and its owners, officers, employees, contractors, representatives, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your misuse of the Site
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of another person’s rights
  • Information or material you submit through the Site

Digicentric reserves the right to assume the exclusive defense and control of a matter otherwise subject to indemnification.

18. Suspension and Termination

Digicentric may suspend, restrict, or terminate access to the Site at any time when reasonably necessary to:

  • Protect the Site or its users
  • Investigate suspected misuse
  • Comply with legal requirements
  • Enforce these Terms
  • Perform maintenance
  • Discontinue the Site

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

19. Changes to the Site and Terms

Digicentric may modify, suspend, or discontinue any portion of the Site without prior notice.

We may also update these Terms periodically. When changes are made, the “Last Updated” date will be revised.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the updated Terms.

20. Governing Law and Venue

These Terms and any dispute relating to the public Site will be governed by the laws of the State of California, without regard to its conflict-of-law rules.

Subject to any applicable consumer-protection rights, legal proceedings relating to the Site must be brought in the state or federal courts located in San Bernardino, California, and each party consents to the jurisdiction of those courts.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed from these Terms.

The remaining provisions will remain in full force and effect.

22. No Waiver

A failure by Digicentric to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision in the future.

23. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Digicentric regarding use of the public Site.

They do not replace or modify a separately executed service agreement, proposal, statement of work, or other written contract between Digicentric and a client.
